These Terms & Conditions (the "Terms") govern your access to and use of Client Alcove (the "Service"). By creating an account or using the Service, you agree to be bound by these Terms.
1. Definitions
"We"/"us"/"our" means Client Alcove. "You"/"User" means the individual or entity using the Service. "Client" means an end-customer you invite to the Service.
2. Account & eligibility
- You must be at least 18 years old and able to form a binding contract.
- You are responsible for the security of your account and credentials.
- You must provide accurate information and keep it up to date. We may suspend accounts for suspected abuse or policy violations.
3. Subscriptions, billing & taxes
- Paid plans: Starter $29/mo and Pro $99/mo (plus any applicable taxes).
- Subscriptions renew automatically each billing cycle until cancelled.
- Payment processing is provided by our third-party processor (e.g., Stripe). By subscribing, you authorise recurring charges to your payment method.
- Trials and promotions may be offered at our discretion; eligibility and duration may vary.
- Pricing and features may change; we'll notify you of material changes in advance where required.
4. Plan limits & fair use
Plan entitlements (e.g., number of clients, projects, storage, branding) are documented on our pricing page. We may apply reasonable technical limits and fair-use protections to maintain Service stability.
5. Cancellations & refunds
- You can cancel at any time from your billing settings; access continues until the end of the paid term.
- We offer a 30-day money-back guarantee for first-time subscriptions if the Service does not meet your needs. Contact billing@clientalcove.com.
- Refunds are not provided for partial billing periods except where required by law.
6. Your content
- You retain ownership of content you upload to the Service. You grant us a limited, worldwide, non-exclusive licence to host, process, and display that content solely to provide and improve the Service.
- You are responsible for ensuring you have rights to upload and share content with your clients.
- You must not upload content that is unlawful, infringing, or harmful.
7. Acceptable use
- No spamming, malware, or attempts to breach or circumvent security.
- No scraping, rate-abuse, or interference with platform stability.
- No unlawful, hateful, or harassing content or activities.
8. Confidentiality & privacy
We handle personal data in accordance with our Privacy Policy. Each party may receive confidential information from the other. You agree to protect such information and use it only as necessary to use the Service.
9. Intellectual property
We and our licensors own all rights to the Service, including software, design, and trademarks. These Terms do not grant you any IP rights except as expressly stated.
10. Third-party services
The Service may interoperate with third-party products (e.g., cloud storage, email delivery, analytics, payment processors). Your use of third-party services is subject to their terms and privacy policies.
11. Availability & support
We aim to provide a reliable Service but do not guarantee uninterrupted availability. Support is provided via email and in-app channels.
12. Termination
- You may stop using the Service at any time.
- We may suspend or terminate access for breach of these Terms, risk to the platform, or where required by law. Upon termination, your licence to use the Service ends; we may retain certain records as required by law.
13. Disclaimers
The Service is provided "as is" and "as available" without warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. Some jurisdictions do not allow limitations on implied warranties; your rights may vary.
14. Limitation of liability
To the maximum extent permitted by law, in no event will we be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenues, data, or goodwill, arising from your use of the Service. Our aggregate liability for all claims in any 12-month period will not exceed the amounts paid by you to us for the Service in that period.
15. Indemnity
You agree to defend, indemnify, and hold harmless Client Alcove and its affiliates from any claims, losses, and expenses (including legal fees) arising from your content, your use of the Service, or your breach of these Terms.
16. Governing law & venue
These Terms are governed by the laws of England and Wales. The courts of England and Wales shall have exclusive jurisdiction, except that we may seek injunctive relief in any jurisdiction.
17. Changes to the Terms
We may modify these Terms from time to time. We will post the updated version with the “Last updated” date and, where required, provide notice of material changes. If you continue using the Service after changes take effect, you agree to the revised Terms.
